Draft document — to be reviewed by a lawyer before production use.

1. Subscription plans

Flockopay offers four subscription plans:

All payment processing fees (interchange, schemes, Stripe) are billed separately under Stripe's pricing in force.

2. Payment

Subscriptions are billed monthly via Stripe Billing in advance. VAT applies based on the customer's jurisdiction. Invoices are available in the console.

3. Cancellation

Subscriptions can be cancelled at any time from the billing portal. Access remains active until the end of the paid period. No prorated refund.

4. Right of withdrawal

Pursuant to article L221-28 of the French Consumer Code, the right of withdrawal does not apply to digital services fully performed before the end of the withdrawal period, since the user has expressly accepted that performance at subscription.

5. Platform fees (Scale plan only)

Flockopay may deduct an application fee on payments processed by sub-accounts of a platform account. The exact amount (as a percentage or fixed amount) is defined at onboarding and disclosed transparently to sub-accounts.

6. Availability and maintenance

Flockopay aims for 99.98% availability measured over a year. Planned maintenance windows are announced at least 72 hours in advance.

7. Refunds and disputes

End-customer refunds are handled directly by the merchant via the console. Payment disputes (chargebacks) are governed by Stripe's rules and the rules of the card networks.

8. Suspension for non-payment

If a subscription fails to be charged, Flockopay will retry payment for 14 days. Beyond that, the account moves to read-only and may be cancelled.

9. Liability

Flockopay's contractual liability is capped at the amounts paid by the user under the current subscription over the last twelve months. Indirect damages are excluded.

10. Confidentiality

Each party undertakes to keep confidential the technical, commercial and financial information shared during the contract, for the duration of the contract and 3 years thereafter.

11. Force majeure

Neither party can be held liable for non-performance due to a force majeure event as defined by French case law.

12. Governing law

These Terms are governed by French law. Any dispute will be brought before the competent courts of Paris.
